What is the meaning of a Director’s Disclosure?

A director’s disclosure indicates that a director must disclose his interests to the company, which could affect the affairs of the company. Section 77 of the Singapore Companies (Amendment) Act 2014 requires a director to disclose one’s interest in the company’s every transaction.

A director must disclose to the company

  • If he is affiliated with any other firm, corporation, or limited liability company in the form of partnership or membership.
  • Any material personal interest in a particular matter that is related to the company’s affairs

A director must disclose any interest that he believes could lead to a conflict of interest to avoid it.
