A person needs not to be formally appointed as a director to be considered as the director of the company. Any person whose instructions are followed by other directors and who is involved in the management will be regarded as a director by the ACRA (Accounting and Corporate Regulatory Authority).
In Singapore, the law does not discriminate between ‘nominee’, ‘sleeping’, ‘active’, or ‘inactive’ directors. A person becomes a director in Singapore, once he agrees to become one. An individual must sign the prescribed consent form as proof that he has decided to act as the director of the corporation.
A director has to make sure that the company complies with all the regulatory requirements even if his level of participation in the company’s affairs is not much high.
A director cannot be excused by his director’s duty, even if he is inactive in the management of the company.
