The company secretary is usually responsible for creating and maintaining the company’s records to ensure they are up to date. The secretary also monitors and ensures compliance with the applicable legislation, especially the Singapore Companies Act. In addition to this, the secretary also ensures that any changes in the director(s) of a company or particulars relating to the director(s) are updated in ACRA's records. Such changes include, but are not limited to :

  • changes to a director’s name or residential address
  • removal of officers from office per the Act or constitution of the company
  • appointments / resignations / deaths
  • annual return
  • change of company name
  • adoption, alteration, and revocation of the constitution
  • issue of shares
  • Transfer of Shares
  • any other changes that require updating with ACRA
